Purpose and description of the content of education:
The purpose of the module is for the student to acquire knowledge, skills, and competence in principles of liability for shareholders and members of bodies in both external and internal relations in commercial companies. The student is assumed to learn the liability principles of managers, officers and shareholders. In particular, the student is acquainted with the following issues: the basic principles of liability for the obligations of legal persons and unincorporated entities, the principles of liability of partners in commercial partnerships and in civil partnerships, liability of partners and shareholders of capital companies to the company, liability to the company for improper performance of the mandate of a member of the body, liability of members of the board of directors for private and public law obligations of the company, the grounds for claims.
